These Terms apply to LANDYUO remote landscape, garden, courtyard, 3D visualization, and design consultation services.

These Terms of Service apply to online landscape design services provided under the LANDYUO brand by 上海山水一隅空间设计工程有限公司, whose official English name is Shanghai Shanshui Design Co. Ltd. If the Chinese legal name and English name are inconsistent, the Chinese legal name controls.

Please read these Terms before purchasing, booking, or using a service. A written proposal, quotation, order confirmation, or signed agreement for a project forms part of these Terms. If they conflict, the latest project-specific written document agreed by both parties controls.

1. Services

LANDYUO currently provides:

  • remote concept design for landscapes, gardens, courtyards, and outdoor living spaces;
  • landscape layout and guidance on style, materials, planting, and lighting direction;
  • 3D landscape visualization, rendered images, and agreed walkthrough presentations;
  • design consultation, design review, and limited remote communication with local contractors.

Unless expressly included in a written proposal, the services exclude interior design, architectural design, construction documents, engineering, onsite measurement, geotechnical work, structural calculations, drainage or irrigation engineering, bills of quantities, procurement, construction, supervision, permit applications, and onsite services.

2. Concept design and local verification

LANDYUO's remote deliverables are generally Concept Design - Not for Construction.

The client must engage appropriately qualified professionals in the project location to verify site dimensions, property boundaries, levels, utilities, structure, electrical work, drainage, irrigation, pool safety, plant suitability, accessibility, local codes, and permit requirements. Unless expressly agreed in writing, LANDYUO does not act as a licensed landscape architect, architect, engineer, contractor, or permitting agent in the project location.

3. Client information and responsibilities

The client must provide timely, complete, and accurate project information, including site photographs, dimensions or surveys, available drawings, project location, climate information, existing elements to retain, functional needs, design preferences, design-fee budget, and known constraints.

LANDYUO may rely on information supplied by the client or the client's nominated third parties. Rework, delay, or additional cost caused by inaccurate, incomplete, late, unauthorized, or changed information will be addressed through a written scope change. The client must have the right to provide all photographs, drawings, marks, text, and other submitted materials.

4. Project confirmation and commencement

The project scope, area, deliverables, file formats, number of rendered views, revision rounds, schedule, design fees, payment stages, and exclusions are governed by the written proposal or agreement. Website packages and prices are general information; the final written confirmation controls.

Unless agreed otherwise, the project schedule begins after the scope is confirmed, LANDYUO receives the agreed initial payment, and the client supplies sufficient source information.

5. Fees, currency, and taxes

Budgets and prices shown in the contact form or packages refer to design-service fees only. They exclude construction, materials, plants, permits, engineering consultants, local contractors, shipping, taxes, and onsite services unless expressly included.

The written proposal controls payment currency, method, and stages. Bank, payment-platform, and currency-conversion charges are allocated as stated in the proposal; if not stated, each party bears the charges imposed by its own provider. Taxes are handled as required by applicable law.

6. Schedule, feedback, and revisions

Website timelines are estimates based on complete information and timely client feedback, not guaranteed completion dates. Late feedback, changed information, third-party coordination, force majeure, or requests outside the original scope may extend the schedule.

One revision round means one consolidated set of comments submitted at the agreed review stage. Added areas, a changed approved direction, extra renders or meetings, reopening an approved stage, and work beyond the agreed revision rounds are scope changes. LANDYUO will explain the fee and schedule effect before continuing.

7. Cancellation, suspension, and refunds

Cancellation or suspension must be requested in writing. The confirmed proposal or agreement governs refunds and cancellation charges. Unless mandatory law provides otherwise, the client remains responsible for work completed before cancellation takes effect, non-cancellable third-party commitments, and other amounts confirmed in writing.

LANDYUO may suspend service by written notice if the client does not provide required information, fails to pay as agreed, or requests unlawful, unsafe, or infringing work. LANDYUO may terminate the affected project if the issue is not resolved within a reasonable period. Any consumer right that cannot lawfully be excluded remains unaffected.

8. Delivery and files

LANDYUO delivers files online in the formats stated in the proposal, commonly PDF, JPG, PNG, or MP4. Source files, editable models, working files, unused concepts, and internal templates are excluded unless expressly listed.

The client should review staged deliverables and provide consolidated feedback within the agreed review period. The client is responsible for securely backing up downloaded final files.

9. Intellectual property

The client retains applicable rights in lawfully supplied source materials. LANDYUO retains rights in its pre-existing methods, templates, tools, workflows, unused concepts, and general design knowledge.

Unless agreed otherwise in writing, after full payment for the relevant project the client receives a non-exclusive, non-transferable license to use the final deliverables solely for the single project identified in the proposal. The deliverables may not be resold, reused for another property, turned into derivative commercial products, or stripped of rights notices without written permission.

LANDYUO will not publish confidential material or private-site information that identifies the client without consent. Portfolio publication, attribution, and the permitted public scope may be agreed in the project documents.

10. Third parties and local implementation

The client selects local contractors, consultants, suppliers, and professionals. Unless agreed otherwise, they are not LANDYUO's agents, and LANDYUO is not responsible for their quotations, construction methods, timing, products, permits, or site safety.

Communication with a local contractor is limited to explaining design intent and does not replace site management, engineering review, or construction responsibility. Local qualified professionals must verify substitutions, dimensional adjustments, and site changes.

11. Design judgment and outcomes

Design involves professional judgment and is affected by client information, site conditions, budget, supply, workmanship, climate, and maintenance. LANDYUO does not guarantee permit approval, construction pricing, plant survival, property appreciation, platform traffic, or any specific commercial outcome, but will perform the agreed services with reasonable professional care.

To the extent permitted by law, LANDYUO is not liable for indirect, incidental, special, punitive, or consequential loss. Nothing in these Terms limits liability that applicable law does not permit to be limited or excluded.

12. Confidentiality

Each party will reasonably protect non-public business, technical, and personal information learned through a project and use or disclose it only as necessary to perform the project, obtain professional advice, or comply with law.

13. Force majeure

If an event beyond reasonable control delays or prevents performance, the affected party should notify the other promptly and take reasonable steps to reduce the impact. The parties will discuss a fair adjustment to the schedule or unfinished work.

14. Governing law and disputes

These Terms and the related services are governed by the laws of the People's Republic of China. The parties should first attempt to resolve a dispute through good-faith consultation. If no resolution is reached, either party may bring proceedings before a competent People's Court of the People's Republic of China at the domicile of 上海山水一隅空间设计工程有限公司.

15. Updates

LANDYUO may update these Terms for service, technology, or legal changes and will publish the updated date. An update does not retrospectively alter rights and obligations in an already signed project document unless required by law or agreed in writing.
